Terms of Service

These Terms are written in English. French language support may be provided on request. In case of inconsistency between translations, the English version prevails unless otherwise required by mandatory Cameroonian law.
1. Agreement to these Terms
These Terms of Service ("Terms") govern access to and use of the websites, applications, APIs, documentation, and related digital properties operated by Skye8 Company LTD ("Skye8", "we", "us", or "our"), including https://skye8.tech and https://app.skye8.tech, together with associated products such as Hyrre, Learnoso, enterprise platforms, academy programs, and professional services (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Services.
If you use the Services on behalf of a company, government body, school, or other organisation, you represent that you have authority to bind that organisation, and "you" refers to both you and the organisation.
2. About Skye8
Skye8 is a Cameroonian technology company headquartered in Bamenda, Northwest Region, Republic of Cameroon. We design, build, and operate software, mobility systems, education technology, cloud solutions, and engineering services for clients in Cameroon, across Africa, and internationally.
References to "Skye8", "we", or "our" mean Skye8 Company LTD unless a separate contracting entity is identified in a signed order form, statement of work, licence agreement, or customer contract.
3. Eligibility
You must be at least 16 years old to use our public marketing Services. Certain products, accounts, or paid features may require you to be 18 or older, or to use the Services through an authorised organisation.
You are responsible for ensuring that your use of the Services complies with applicable laws in Cameroon and in any jurisdiction from which you access the Services.
4. Permitted use of the website
Subject to these Terms, Skye8 grants you a limited, non-exclusive, non-transferable, revocable right to access and use our public website and marketing content for lawful personal or business purposes.
You agree not to:
- use the Services in violation of Cameroonian law or applicable foreign law;
- attempt to gain unauthorised access to systems, accounts, APIs, or data;
- probe, scan, or test vulnerabilities except as expressly authorised in writing;
- interfere with or disrupt the integrity or performance of the Services;
- scrape, harvest, or automate access in a manner that imposes unreasonable load or bypasses technical controls;
- upload malware, malicious code, or content designed to compromise security;
- impersonate Skye8, our personnel, or other users;
- use the Services to send unlawful spam, phishing, or deceptive communications;
- misrepresent your affiliation with Skye8 or our products;
- copy, frame, mirror, or resell the Services except as expressly permitted.
5. Accounts and application access
Some Services require registration or invitation through an enterprise customer. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
You must provide accurate registration information and promptly update it when it changes. Notify us immediately at info@skye8.tech if you suspect unauthorised access.
Skye8 may suspend or terminate accounts that violate these Terms, create security risk, or remain inactive for extended periods, subject to any contrary obligations in a customer contract.
6. Intellectual property
The Services, including software, source code, object code, designs, logos, trademarks, service marks, product names, documentation, articles, visuals, and layout, are owned by Skye8 or its licensors and are protected by intellectual property laws in Cameroon and internationally.
Except as expressly granted in a separate written agreement, no rights are transferred to you. You may not reproduce, distribute, modify, create derivative works from, publicly display, reverse engineer, decompile, or exploit Skye8 materials without prior written consent.
The names Skye8, Hyrre, Learnoso, and associated branding may not be used in a manner likely to cause confusion without permission.
7. User submissions and feedback
If you submit feedback, ideas, testimonials, support messages, CVs, portfolio materials, or other content ("User Content"), you grant Skye8 a worldwide, royalty-free licence to use, reproduce, adapt, and display that content solely for operating, improving, and promoting the Services, responding to your request, or evaluating employment, unless a separate agreement states otherwise.
You represent that you have the rights necessary to provide User Content and that it does not infringe third-party rights or violate law. We may remove content that is unlawful, abusive, or inconsistent with these Terms.
8. Software, SaaS, and hosted products
Access to production software, hosted environments, APIs, mobile applications, and customer-specific deployments is governed by these Terms only where no separate master services agreement, licence, order form, or statement of work applies. In case of conflict, the signed customer contract prevails.
Unless otherwise agreed in writing:
- the Services are provided on a subscription or project basis and may be modified over time;
- Skye8 may apply updates, patches, and maintenance windows;
- trial, beta, or preview features may be offered "as is" and withdrawn at any time;
- you are responsible for your own internet connectivity, devices, and local compliance obligations;
- service levels, support hours, and uptime commitments apply only when expressly stated in a paid contract.
9. Professional and consulting services
Custom software development, cloud architecture, integration, training, academy cohorts, and consulting engagements are typically delivered under a separate proposal, statement of work, or services agreement defining scope, fees, milestones, acceptance criteria, and deliverables.
Marketing content on https://skye8.tech is illustrative and does not constitute a binding offer. Formal engagements begin only after written acceptance by both parties.
10. Fees and payment
Fees for paid Services are stated in the applicable order form, invoice, or proposal. Unless otherwise specified, amounts may be quoted in Central African CFA franc (XAF), US dollars, or another agreed currency.
You are responsible for applicable taxes, levies, duties, and bank charges, except where Skye8 is legally required to collect and remit them. Late payments may incur suspension of Services and interest or recovery costs permitted under Cameroonian commercial practice and applicable OHADA uniform acts, where relevant.
11. Third-party services and integrations
The Services may interoperate with third-party platforms such as cloud providers, payment processors, maps, messaging tools, identity providers, or customer systems. Skye8 is not responsible for third-party terms, outages, pricing, or data practices.
Your use of third-party services is at your own risk and subject to the third party’s terms.
12. Privacy
Our collection and use of personal information is described in the Privacy Policy. By using the Services, you acknowledge that personal data may be processed in Cameroon and other countries where we or our providers operate, in accordance with that policy.
13. Confidentiality
Each party may receive confidential information from the other in connection with evaluations, pilots, or contracts. The receiving party must protect such information using reasonable care and use it only for the permitted purpose, except where disclosure is required by law or to professional advisers bound by confidentiality duties.
Confidentiality obligations in a signed non-disclosure agreement or customer contract override this section where they are more specific.
14. Disclaimer of warranties
To the fullest extent permitted by applicable law, the public website and any free, trial, beta, or preview Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free operation.
Skye8 does not warrant that marketing materials, benchmarks, case studies, or forward-looking statements on the website are complete, current, or suitable for your specific use case. Enterprise customers should rely on statements in signed commercial documents.
15. Limitation of liability
To the fullest extent permitted by applicable Cameroonian law and, where relevant, the OHADA uniform acts on commercial law:
- Skye8 shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, goodwill, data, or business opportunity, even if advised of the possibility;
- Skye8’s total aggregate liability arising out of or relating to the public website and free Services shall not exceed one hundred thousand Central African CFA francs (XAF 100,000) or the minimum amount permitted to be limited by mandatory law, whichever is greater;
- for paid Services covered by a separate contract, liability limits stated in that contract apply;
- nothing in these Terms excludes liability that cannot be excluded under mandatory law, including fraud or wilful misconduct where non-excludable.
16. Indemnification
You agree to indemnify, defend, and hold harmless Skye8, its directors, officers, employees, contractors, and affiliates from claims, damages, losses, and expenses (including reasonable legal fees) arising out of your misuse of the Services, violation of these Terms, infringement of third-party rights, or unlawful User Content, except to the extent caused by Skye8’s own breach or negligence.
17. Suspension and termination
We may suspend or terminate access to the Services immediately if you materially breach these Terms, create a security or legal risk, or fail to pay amounts due under a commercial agreement.
Upon termination, your right to use the affected Services ends. Provisions that by nature should survive— including intellectual property, disclaimers, limitation of liability, indemnity, governing law, and dispute resolution—will survive termination.
18. Export and sanctions compliance
You may not use the Services in violation of applicable export control, sanctions, or trade restriction laws. You represent that you are not located in, organised under, or controlled by a jurisdiction or person subject to comprehensive international sanctions, except where use is expressly authorised by law.
19. Force majeure
Skye8 is not liable for delay or failure to perform due to events beyond reasonable control, including power outages, internet failures, civil unrest, public health emergencies, government actions, natural disasters, or failures of third-party infrastructure—particularly where such events affect connectivity or operations in Cameroon or host regions.
20. Governing law and jurisdiction
These Terms are governed by the laws of the Republic of Cameroon, without regard to conflict-of-law principles, except where mandatory consumer protections in your country of residence apply and cannot be waived.
Subject to any exclusive jurisdiction clause in a separate signed customer contract, the courts of Bamenda, Cameroon shall have non-exclusive jurisdiction over disputes arising from these Terms. Skye8 may also bring proceedings in any court of competent jurisdiction where harm occurs or assets are located.
Commercial relationships may additionally be subject to the OHADA uniform acts where applicable to corporate and commercial matters in member states.
21. Dispute resolution
Before initiating formal proceedings, the parties agree to attempt good-faith resolution by contacting info@skye8.tech and allowing 30 days for discussion.
Enterprise customers may be subject to mediation, arbitration, or escalation procedures defined in their master services agreement. Nothing prevents either party from seeking urgent injunctive relief to protect intellectual property, confidentiality, or system security.
22. General provisions
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect. Skye8’s failure to enforce a provision is not a waiver of future enforcement.
You may not assign your rights or obligations without Skye8’s prior written consent. Skye8 may assign these Terms in connection with a reorganisation, acquisition, or sale of assets.
These Terms, together with the Privacy Policy and any applicable signed commercial agreement, constitute the entire agreement regarding the public Services, superseding prior informal communications on the same subject.
23. Changes to these Terms
We may update these Terms from time to time. The revised version will be posted on this page with an updated date. Material changes may be notified through the website or by email to registered users where appropriate.
Continued use after changes become effective constitutes acceptance, except where your express consent is required by law or by contract.
